Wholesaling in Oregon: Registering as a Residential Property Wholesaler

Beginning July 1, 2025, Oregon requires most individuals who engage in residential property wholesaling to either hold an Oregon real estate license or register with the Oregon Real Estate Agency as a Residential Property Wholesaler. This requirement was created by House Bill 4058 to increase transparency and consumer protection in wholesale real estate transactions. A person is considered to be engaging in residential property wholesaling when they market residential property in which they hold only an equitable interest or an option to purchase, have held that interest for fewer than 90 days, and have invested less than $10,000 in improvements or development costs. https://www.oregon.gov/rea/Pages/Residential-Property-Wholesaling.aspx

Registered residential property wholesalers, and licensed real estate professionals acting as wholesalers, must provide written disclosures to prospective buyers and sellers before entering into a contract, include the required disclosure in advertising, and disclose their status to any brokers involved in the transaction. Failure to register, obtain the appropriate license, or provide the required disclosures can result in civil penalties, cease-and-desist orders, suspension or revocation of a wholesaler registration, and, in some cases, criminal penalties.
